The K12 Sports Tech AD Think Tank provides our consultant athletic administrators with the opportunity to help shape innovation in school sports tech by participating in consulting projects with our sports tech vendor partners. Note: Participation in Think Tank projects after sign-up is completely voluntary! By signing up, you are under no obligation to participate in our vendor consulting projects or to use vendor client technology.

AD Think Tank Agreement
Background and Purpose
WHEREAS, K12 Sports Tech provides consulting services to technology vendors in the school athletics space;
WHEREAS, K12 Sports Tech has developed an extensive network of athletic administrators and coaches;
WHEREAS, K12 Sports Tech wishes to offer athletic administrators and coaches the opportunity to be compensated for assisting technology vendor clients of K12 Sports Tech in identifying market opportunities, testing and developing products, developing go-to-market strategies and sales and marketing positioning, and growing their sales; and
WHEREAS, K12 Sports Tech has formed an “AD Think Tank,” a collection of industry experts to assist it in advising and assisting its technology vendor clients;
THEREFORE, it is agreed as follows by and between the Parties:
Engagement of Services
K12 Sports Tech can engage Member to consider providing some or all of the following services (“Services”):
- Beta testing/piloting technology vendor products and solutions.
- Providing feedback, guidance, and recommendations to technology vendors which can take the form of:
- Completing surveys and questionnaires
- Participating in meetings
- Documenting and sharing written feedback
- Other
- Brainstorming new or refining existing products, services, sales and marketing language, etc
- Identifying market opportunities for vendor clients
- Referring prospective customers for vendor clients (via K12 Sports Tech)
- Referring other prospective K12 Sports Tech “AD Think Tank” Members
- Developing Go-To-Market strategies
Compensation
In consideration for the Services provided by Contractor, K12 Sports Tech shall pay Member a fee of [Agreed-upon Amount]. Payment terms shall be [Specify payment terms – e.g., upon completion of milestones, monthly, etc.].
Relationship of Parties
Member agrees that they are an independent contractor and not an employee of K12 Sports Tech. Member is solely responsible for payment of all taxes arising from the compensation received under this Agreement.
Expenses
Member shall be responsible for all expenses incurred in connection with providing the Services unless otherwise agreed upon in writing by both parties.
Confidentiality
Member acknowledges and agrees that in the course of performing services under this Agreement, Member will be exposed to confidential and proprietary information of K12 Sports Tech and its clients (“Confidential Information”) and understands the necessity of protecting all such information. Therefore, Member agrees to maintain the confidentiality of all Confidential information and shall not disclose or use such information for any purpose other than performing Services. In particular and without intending to limit the foregoing, Member understands and agrees that he/she shall not share information learned from K12 Sports Tech’s technology vendors with competitors of such vendors or with trade publications or other websites.
Communication Expectations and Protections
K12 Sports Tech wishes to protect Member from unwanted and unpaid solicitations and communications from its technology vendor clients. K12 Sports Tech also wishes to preserve the value of its AD and vendor networks. Specifically it wishes to protect itself and its AD Think Tank members from vendors seeking to circumvent its established processes and communication protocols. Member understands that he/she shall channel all communications with technology vendor clients of K12 Sports Tech through K12 Sports Tech, and agrees not to conduct private substantive communications with such vendors, unless expressly otherwise agreed.
Term and Termination
This Agreement shall commence on [Start Date] and shall continue until the completion of Services unless terminated earlier by either party. Either party may terminate this Agreement upon written notice to the other party in the event of a material breach of the terms herein.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Illinois.
Entire Agreement
This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements or understandings.
